The Rules of
Engagement.

By accessing, browsing, or using the Nayandi AI website or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our Services.

These Terms constitute a binding legal agreement between you and Nayandi AI. For enterprise customers, a separate Master Service Agreement may override certain provisions of these Terms.

• Customer Data: All data, including video feeds, animal records, and farm operational data, that you provide or generate through use of the Services.
• Documentation: User guides, technical specifications, and help materials provided by Nayandi AI.
• Output: Heat detection alerts, lameness scores, health warnings, and other analytical results generated by our Services.
• Subscription Term: The period during which you have access to the Services as specified in your order or agreement.

You must be at least 18 years old to use our Services. By using the Services, you represent and warrant that you meet this age requirement.

If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

Subject to your compliance with these Terms and payment of applicable fees, Nayandi AI grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services during the Subscription Term solely for your internal dairy farm operations.

You agree not to:

• Reverse engineer, decompile, or attempt to extract source code from our Services.
• Use the Services to develop competing products or services.
• Upload unlawful, harmful, or infringing content.
• Interfere with or disrupt the Services or servers.
• Use the Services for any high-risk activities where failure could lead to death, personal injury, or environmental damage without appropriate safeguards.
• Violate any applicable laws or regulations, including data protection and animal welfare laws.

You retain all ownership rights in your Customer Data. You grant Nayandi AI a limited license to process Customer Data solely to provide the Services and improve our computer vision models (in aggregated, anonymized form).

You represent and warrant that you have all necessary rights to provide Customer Data and that it does not violate any laws or third-party rights.

Nayandi AI retains all rights, title, and interest in the Services, including all computer vision models, algorithms, software, and documentation. You retain ownership of Output generated from your Customer Data.

Any feedback, suggestions, or ideas you provide may be used by Nayandi AI without obligation or compensation.

Fees are specified in your order or agreement. Unless otherwise stated:

• Fees are due within 30 days of invoice date.
• Late payments accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
• All fees are non-refundable except as required by law.
• We may suspend Services for non-payment after 15 days' notice.

Each party agrees to protect the other's Confidential Information using at least the same degree of care as it uses for its own confidential information, but no less than reasonable care.

Confidential Information does not include information that: (a) is publicly available, (b) was known before disclosure, (c) is independently developed, or (d) is lawfully obtained from a third party.

Nayandi AI warrants that the Services will materially conform to the Documentation under normal use.

You agree to indemnify and hold Nayandi AI harmless from claims arising from: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any law or third-party rights, or (d) your Customer Data.

Nayandi AI will indemnify you against claims that the Services infringe third-party intellectual property rights, provided you notify us promptly and cooperate in the defense.

Some jurisdictions do not allow limitations on implied warranties or liability, so these limitations may not apply to you.

These Terms begin when you first access the Services and continue for the Subscription Term. Either party may terminate for material breach if the breach is not cured within 30 days of written notice.

Upon termination, your right to use the Services immediately ceases. You may export your Customer Data within 30 days of termination, after which we may delete it.

We may modify these Terms with 30 days' notice. Continued use after changes constitutes acceptance. If you do not agree to changes, you may terminate your subscription.

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Noida, Uttar Pradesh, India.

Before initiating litigation, parties agree to attempt good-faith negotiation for 30 days. Either party may also elect arbitration under the Indian Arbitration and Conciliation Act, 1996.

• Entire Agreement: These Terms (together with your order) constitute the entire agreement.
• Severability: If any provision is unenforceable, it will be modified to the minimum extent necessary.
• No Waiver: Failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without our written consent.
• Force Majeure: Neither party is liable for delays due to events beyond reasonable control.
• No Agency: These Terms do not create a partnership, joint venture, or agency relationship.
